TERMS OF USE
These terms of use (these “Terms of Use”) describes matters to which a user (“User(s)”) is required to agree in order to use the Services (defined below) provided by Direct Publishing, Inc. and its group companies (collectively referred to as the “Group”). These Terms of Use will apply when User uses the Services. Please be sure to read these Terms of Use before using the Services, and start using the Services after agreeing to these Terms of Use.
Article 1 (General provisions)
- These Terms of Use shall stipulate the conditions to be complied with by User and the relationship between User and the Group regarding the use of the service provided by the Group (the “Services”).
- User shall, regarding the use of the Services, comply with these Terms of Use, as well as subordinate agreements of these Terms of Use, rules and guidelines, and help information, etc. (agreements, guidelines, and help information, etc. applicable to Users are hereinafter collectively referred to as these “Terms of Use, Etc.”)
- In case of any conflict or discrepancies between these Terms of Use and the description of the Service described in the Terms of Use, Etc. set forth in the preceding paragraph or other agreements outside these Terms of Use, the provisions of these Terms of Use will prevail.
Article 2 (Definitions)
The Services mean the application for browsing, etc. the Group’s product and the services related thereto (including, but not limited to, DIRECT ACADEMY).
Article 3 (Contents of the Services and status of the Group)
The Group may provide the Services to User, and User may use the Services within the terms of the contract at the time of purchase of each product.
Article 4 (Method of providing the Services)
- An Internet connection is required to access the Services.
Video and audio will be provided by streaming.
Since significant data will be consumed when viewing video and audio, it is recommended that User uses Wi-Fi or a flat-rate communication service contract.
- The Group will not provide the Services in the EEA (European Economic Area) and the United Kingdom.
- The Services may not operate properly due to the usage environment of User (such as terminal performance, software type or version, type or performance of communication equipment, or Internet connection malfunction).
- In using the Services, all communication costs (such as data charges during communication) shall be borne by User.
Article 5 (User’s responsibilities)
- When using the Services, User shall comply with laws, regulations, bylaws or guidelines prescribed by administrative organs, and shall not engage in any other acts that violate these Terms of Use, Etc.
- User shall not use the Services in the EEA (European Economic Area) and the United Kingdom.
- If User causes any damage or disadvantage to the Group, other Users, or other third parties in relation to the Services, the User shall compensate for such damage or disadvantage at their own responsibility and expense. In addition, if other Users or other third parties make an inquiry, complaint, claim or demands in connection with the Services against the User, the User shall also respond to such inquiry, etc. in good faith at their own responsibility.
- User shall take measures to prevent theft of their ID and password registered for the use of the Services at their own responsibility, including but not limited to appropriately managing the ID and password, regular password updates, and ensuring non-disclosure to a third party.
- IDs and passwords used for the Services shall be provided by the Group solely to User, and User shall not assign these rights pertaining to the IDs and passwords to a third party.
- If the Group confirms that the ID and password used at the time of login match the registered ones by the prescribed means, the Group shall recognize the user who used such ID and password as the authentic User, and even if the ID and password are used by a person who is not the authentic User due to theft, unauthorized use or other circumstances, and the authentic User suffers any damage or disadvantage as a result of such use, the Group shall not be any responsibility, except to the extent inconsistent with applicable laws and regulations, for the damage or disadvantage.
- User shall store the User’s data recorded through the Services, etc. at their own responsibility.
- The Group shall provide only one ID and one password per User to use the Services. If multiple IDs and passwords are created, the Group may delete such IDs and passwords (prohibition of multiple accounts).
Article 6 (Intellectual property rights)
- Intellectual property rights concerning all contents, texts, images, data, information, and other materials that are displayed on or can be obtained from the Services (hereinafter collectively referred to as “Content, Etc.”) (including all rights such as copyright or trademark right, hereinafter collectively referred to as “Intellectual Property Rights”) are the property of the Group or the right holder of the Content, Etc. displayed on the Services, and protected by laws, etc. regarding Intellectual Property Rights, such as the Copyright Act.
- User may, in accordance with these Terms of Use and relevant laws, use the Services, and download and print the Content, Etc. only within the scope of the intended purpose of the Services and each product.
- User may not reproduce, sell, publish, distribute, make changes, or display the Services or the Content, Etc. without prior permission from the Group. User also may not infringe on, dilute, remove, or make changes to any Intellectual Property Rights in the Services or indications of rights holders related to such rights.
Article 7 (Ownership of rights, warranty and use of Comments)
- Copyrights (including the rights prescribed in Article 27 and Article 28 of the Copyright Act) of comments and other information sent by User on the Services (“Comments, Etc.”) shall belong to the author of such Comments, Etc.
- The author of the Comments, Etc. warrants to the Group that the content of the Comments, Etc.is correct and does not infringe on the rights of any third party.
- The author of the Comments, Etc. shall grant to the Group free of charge the rights under the Copyright Act to reproduce, transmit to the public, distribute, translate, and adapt such Comments, Etc. in Japan and abroad. The Group may edit the Comments, Etc. and use them in Content, Etc. or for advertising purposes (including web advertising on websites and sales pages, video advertising on YouTube and the other similar services, or direct mail, etc.), and the author of the Comments, Etc. authorizes for such editing and use.
- The author of the Comments, Etc. shall not exercise moral rights as the author against the Group and a third party that has duly acquired the rights from the Group or has been duly authorized to use such rights.
Article 8 (Management of Comments, Etc.)
In the event that the Comments, Etc. fall under any of the following items or the Group deems that the Comments, Etc. fall under any of the following items, the Group may delete the Comments, Etc. without giving any demand or notice.
- (1) If the Comments, Etc. are deemed to infringe on the copyright or other rights of the Group or any third party, or to damage the honor or credibility of the Group or any third party.
- (2) If the Group receives a warning from any third party that the Comments, Etc. infringe on the copyright or other rights of such third party, or damage the honor or credibility of such third party.
- (3) If the Comments, Etc. include personal information of User or any third party.
- (4) If the Comments, Etc. violate laws and regulations.
- (5) If the Comments, Etc. are ordered to be deleted by a government or public office or other public organizations based on legal bases.
- (6) In any other case in which they are deemed inappropriate for the operation of the Services.
Article 9 (Contact method)
User acknowledges that (i) any communications or other notices regarding the Services from the Group to User will be given to the email address registered by User in principle, and (ii) any communications or other notices to the Group will be given to the email address prescribed by the Group, except in cases that particularly designated by the Group. In addition, User shall regularly check and read emails sent to such email address, and shall promptly take appropriate measures if a response is required.
Article 10 (Non-authorization of use, etc.)
If the Group deems that User falls under any of the following items, the Group may refuse to grant User authorization to use the Services, cancel the User's ID and password, suspend the use of all or part of the Services, or take any other measures the Group deems necessary. In addition, even if User suffers any damage or disadvantage as a result of such actions, the Group shall bear no responsibility for such damage or disadvantage, except to the extent inconsistent with applicable laws and regulations.
- (1) If User has violated these Terms of Use, Etc., including past violations.
- (2) If there is a false content or a deficiency in registered matters.
- (3) If the email address registered by User is not available, or if User does not promptly respond to requests of the Group such as for reference materials or submission of documents.
- (4) If User belongs to so-called anti-social forces or organizations engaged in anti-social activities, or has a close relationship with these organizations.
- (5) In addition to any of the preceding items, if the Group deems it inappropriate for User to use the Services.
Article 11 (Suspension of the Services)
If the Group deems it necessary to suspend the provision of the Services due to system management and maintenance, response to system trouble such as server suspension, force majeure such as natural disasters, or other technical or operational reasons, the Group may temporarily suspend the provision of the Services without giving prior notice to User.
In addition, information distribution may be subject to delays or delivery failures due to communication environment conditions, system malfunctions, or other circumstances.
Article 12 (Change or termination of the Services)
- The Group may make changes to the contents and specifications of the Services without giving prior notice to User.
- The Group may terminate the provision of the Services by giving a notice to the User’s registered email address or on the website of the Group at least two months prior to such termination.
Article 13 (Standard hours)
All times used as a standard for providing the Services shall be based on the time managed in the servers (based on the time zone of the country where the servers are located) of the Group.
Article 14 (WARRANTIES)
- THE GROUP SHALL ENDEAVOR TO ENSURE THAT EMAILS SENT FROM THE WEBSITE, SERVER, OR DOMAIN OF THE GROUP, BLOG DATA OF THE SERVICES, OR OTHER CONTENT FROM THE SERVICES DO NOT CONTAIN HARMFUL CONTENTS SUCH AS COMPUTER VIRUSES, HOWEVER THE GROUP SHALL NOT WARRANT IT, EXCEPT TO THE EXTENT INCONSISTENT WITH APPLICABLE LAWS AND REGULATIONS.
- THE GROUP MAY PROVIDE INFORMATION AND ADVICE TO USER ACCORDING TO CIRCUMSTANCES, HOWEVER, THE GROUP SHALL NOT WARRANT THE USEFULNESS OF SUCH INFORMATION, ETC., AND SHALL NOT BE RESPONSIBILITY FOR RESULTS OF USER’S RELIANCE ON SUCH INFORMATION, ETC, EXCEPT TO THE EXTENT INCONSISTENT WITH APPLICABLE LAWS AND REGULATIONS.
- ALL COMMENTS, ETC. REPRESENT THE PERSONAL OPINIONS AND VIEWS OF USER WHO SENT THE COMMENTS, ETC., AND THE GROUP SHALL NOT WARRANT THE AUTHENTICITY, ACCURACY, OR USEFULNESS OF THE INFORMATION IN SUCH COMMENTS, ETC., OR THAT SUCH COMMENTS, ETC. DO NOT INFRINGE THIRD-PARTY RIGHTS, EXCEPT TO THE EXTENT INCONSISTENT WITH APPLICABLE LAWS AND REGULATIONS.
Article 15 (DISCLAIMER OF LIABILITY)
- THE SERVICES PROVIDE A MEMBER SITE FOR BROWSING, ETC. EACH PRODUCT OF THE GROUP, AND THE GROUP SHALL NOT BE RESPONSIBILITY FOR (I) DAMAGE INCURRED BY USE DUE TO TROUBLES CAUSED BY DEFECTS IN A PROGRAM OF THE SERVICES, (II) DAMAGE OR DISADVANTAGE CAUSED BY (A) TROUBLES WITH COMMUNICATION CHANNEL OR COMPUTER, ETC. RELATED TO THE SERVICES, (B) SYSTEM SUSPENSION OR DELAY PRESCRIBED IN ARTICLE 11 “SUSPENSION OF THE SERVICES” OF THESE TERMS OF USE, (C) DAMAGE TO OR LOSS OF DATA, OR (D) UNAUTHORIZED ACCESS TO DATA, ETC., (III) SECONDARY OR INDIRECT DAMAGE CAUSED IN CONNECTION WITH THE USE OF THE SERVICES OR CAUSED AS A RESULT THEREOF, AND/OR (IV) OTHER DAMAGE OR DISADVANTAGE INCURRED BY USE RELATED TO THE SERVICES.
- THE GROUP DOES NOT REFUND FEES FOR TEMPORARY SERVICE SUSPENSION AS PRESCRIBED IN ARTICLE 11 “SUSPENSION OF THE SERVICES” OF THESE TERMS OF USE.
- EVEN IF USER SUFFERS ANY DAMAGE OR DISADVANTAGE AS A RESULT OF THE MEASURES TAKEN BY THE GROUP AS PRESCRIBED IN ARTICLE 4, PARAGRAPH 2 “NON-PROVISION OF THE SERVICES IN THE EEA AND THE UNITED KINGDOM”, ARTICLE 10 “NON-AUTHORIZATION OF USE, ETC.”, ARTICLE 12 “CHANGE OR TERMINATION OF THE SERVICES”, OR ARTICLE 16 “PROHIBITED ACTS, ETC.” OF THESE TERMS OF USE, THE GROUP SHALL NOT BE RESPONSIBLE FOR SUCH DAMAGE OR DISADVANTAGE.
- IF THE LIMITATIONS OF THIS INDEMNITY CLAUSE ARE NOT INCONSISTENT WITH APPLICABLE LAWS AND REGULATIONS, THE GROUP SHALL BE RELIEVED FROM RESPONSIBILITY TO THE EXTENT PERMITTED BY LAW.
Article 16 (Prohibited acts, etc.)
- User shall not engage in acts that fall under any of the following item when using the Services. If the Group deems that User has engaged in these acts, the Group may suspend the use of all or part of the Services by such User, or take other measures that the Group deems necessary without giving prior notice to such User.
- (1) Act that violates these Terms of Use, Etc.
- (2) Act that violates applicable laws and regulations, encourage or facilitate such violation, or acts that may lead to such violation.
- (3) Act that infringes on or encourage infringement of the property, honor, credit, privacy, copyright, right of publicity, trademark right, or other rights of other Users, a third party, or the Group, or acts that may lead to such infringement.
- (4) Act that discloses, releases, or making public any information that should be considered confidential information of the Group or other User, obtained in connection with the Services.
- (5) Act that induces other Users or a third party to access other websites by using the Services.
- (6) In addition to the preceding items, other acts that the Group deems inappropriate.
- Even if User suffers any damage or disadvantage as a result of the measures taken as prescribed in the preceding paragraph, the Group shall not be responsible for such damage or disadvantage, except to the extent inconsistent with applicable laws and regulations.
Article 17 (No assignment of status, etc.)
User shall not assign, transfer, pledge, or otherwise dispose of, in whole or in part, any rights, obligations, and contractual status under these Terms of Use, Etc. to any third party, except with the prior written consent of the Group.
Article 18 (Prohibition of sharing account)
User shall not share with any third party, in whole or in part, any rights, obligations, or contractual status under these Terms of Use, Etc., except with the prior written consent of the Group.
Article 19 (Severability)
Even if any provision of these Terms of Use or any portion thereof is determined to be invalid or unenforceable under applicable consumer protection laws or other applicable laws and regulations, the remaining provisions of these Terms of Use and the remaining portion of the provision partly determined to be invalid or unenforceable shall remain in full force and effect.
Article 20 (Amendment to these Terms of Use)
- The Group may amend all or part of these Terms of Use, by giving notice in the manner that the Group deems appropriate, by establishing a certain period of advance notice, in cases where it serves the general interest of Users, as well as in the event of changes in social conditions, economic situations, tax systems, or changes in other general circumstances, changes in laws and regulations, changes in actual circumstances regarding the Services, or otherwise if it is deemed that there are reasonable grounds. These Terms of Use after amendment will apply upon the expiration of the period of advance notice. In the event that User uses the Services after the period of advance notice, the User shall be deemed to have consented to these Terms of Use after amendment.
- If User does not wish to continue using of the Services after the amendment to these Terms of Use under the provisions of paragraph 1, the User may make a request to unsubscribe from the Services in the manner determined by the Group until the date on which these post-amendment Terms of Use are applicable as set out in paragraph 1.
Article 21 Governing Law and Jurisdiction
These Terms of Use, Etc. shall be goverened by the laws of Japan. For any and all disputes arising out of or in connection with these Terms of Use, Etc. or the Services, the Osaka District Court shall has the exclusive jurisdiction for the first instance.
